Wayne Isaacks has worked with business owners for over 25 years, first as a CPA, and since 1986, as a business and tax attorney. His experienced in business and tax planning for new and growing businesses, deal making, buying and selling businesses, exit and succession strategies and transactions, has led him to an approach for effectiveness, from the business owner's viewpoint, for business builders, sellers or buyers. Understanding what you want to accomplish, and what you have to work with is the start. Then, Wayne works with you to coordinate the business, legal, tax, financial and human aspects of your strategy, and transaction - for effective planning, effective deal-making.

Business Planning and Tax Strategies. You know how to build and run your successful business. But, it's what you keep that counts. Wayne helps you align your business structures, and tax strategy to keep more of what you make, from operating profits, and the eventual sale, or exit form a successful business. This is an area where business owners often get conflicting advice from CPA's, lawyers, and financial advisors. Ownership and control, liability limitation, risk management, saving taxes, building assets, positioning to cash out, implementing the plan. Wayne helps you sift though the conflicting issues, to see and choose what is best for you, and help you keep more of what you make.

Exit Strategies and Transactions. Most successful business owners approaching the exit zone are frustrated with a complicated landscape of alternatives, risks and conflicting advice. There are so many options to consider: sale to a strategic buyer, private equity deals, venture capital, management buyouts, tax-free ESOP buyouts, family transfers. There are many critical factors to consider: valuation, timing, business and deal financing, company structure, management incentives, confidentiality, finding a buyer, negotiating deal terms, getting paid, and taxes. Wayne is experienced in coordinating these issues to help you assess your options, creatively develop a best course and accomplish it.

Management Buyouts and ESOPS. Sometimes the best overall deal for an exiting business owner is a management buyout considering deal terms, payout time, getting paid, and taxes. Management is often a crucial element in the ongoing value of a business, and has the most intimate knowledge of the business, its risks, and future value. Succession management may have biggest stake in the future success of the business after the owner's exit, and may be the most reliable buyer. The management has many options to finance and structure a successful buyout, for the seller and themselves: leveraged buyouts, private equity and venture capital deals, tax-free ESOP buyouts. Wayne's experience in representing and advising management in successful buyouts can help your structure, and make your buyout deal.
